IperionX (ASX:IPX) has announced it intends to establish a Texas-incorporated ultimate parent company and replace its US depositary share structure with common stock listed directly on Nasdaq.
The proposed redomiciliation remains subject to shareholder, court, regulatory, exchange, and other customary approvals, along with final structuring.
IperionX says the change would align its corporate and capital-markets structure with its US operations, which comprise the Atlas-Titan critical minerals platform in Tennessee, titanium production and advanced manufacturing in Virginia, and technology research and development in Utah.
The company notes it is developing an integrated domestic supply chain spanning titanium minerals and recycled feedstocks, titanium metal production, and advanced manufactured products for the US defence sector and other strategic industries.
CEO Taso Arima says the proposed structure would simplify investment in IperionX for US investors.
“The proposed redomiciliation would complete that alignment at the corporate level. It would create a simpler investment structure for US investors and better position IperionX to access the capital, market visibility, and strategic relationships required to scale a fully American titanium supply chain,” Arima says.
The proposal is not expected to change IperionX’s underlying assets, operations, or strategic priorities. The company says a US domicile and direct Nasdaq listing could broaden its investor base, improve trading liquidity, and expand its access to US growth capital.
IperionX also says it has separately appointed Michael Loparco as an independent non-executive director, effective 3 August 2026.
Loparco is the CEO and co-founder of AI workflow platform OrcaWorcs.ai. He previously led warehouse automation company Symbotic (NASDAQ:SYM) through its 2022 public listing.
He also spent more than 20 years at manufacturing services company Jabil (NYSE:JBL), where his roles included CEO of Jabil Electronics Manufacturing Services and executive VP, overseeing operations across 25 countries.
Loparco currently serves on the board of Sanmina (NASDAQ:SANM).
