Pioneer Minerals (ASX:PMM) has secured firm commitments for a $500,000 placement to advance its US critical minerals portfolio.
The company will issue about 4.55 million shares at $0.11 each to sophisticated and professional investors. Participants will receive one free-attaching option for every two shares subscribed, exercisable at $0.20 and expiring on 14 October 2028.
The issue price represents a 12% discount to Pioneer’s closing price of $0.125 on 24 July 2026, a 6.7% discount to its 15-day volume-weighted average price of $0.1179, and a 4.6% discount to its 10-day volume-weighted average price of $0.1153.
CEO Michael Beven says the placement provides additional funding as Pioneer enters an important exploration period at its Springfield Tungsten-Gold-Gallium Project in Idaho, US.
“Over recent months, the company has achieved several key milestones at Springfield, including securing approval for our maiden drilling program, completing the heritage survey, and completing the airborne VTEM [versatile time domain electromagnetic] survey across the project area,” Beven says.
“Our immediate focus is now on completing interpretation of the VTEM results and progressing towards maiden drilling, where we will test priority targets across the broader Springfield mineralised system.”
Pioneer says funds will primarily support exploration across Pioneer’s US portfolio, upcoming exploration and drilling costs, the evaluation of new projects and growth opportunities, general working capital, and placement costs.
Settlement is expected on 3 August, with the new shares expected to begin trading on 4 August.
The company notes 62 Capital acted as lead manager and will receive a fee equal to 6% of the amount raised, settled through shares and options issued on the placement terms. The firm will also receive two million options at an issue price of $0.000001 each, exercisable at $0.20 and expiring on 14 October 2028.
The issue of the lead manager securities remains subject to shareholder approval, with a meeting expected in October or November 2026.
