Element79 extends Synergy transaction

Element79 Gold (CSE:ELEM) has entered into an amending agreement to extend the deadline for completing a proposed spin-out transaction with Synergy Metals Corp to 31 October 2025. 

The company is also clarifying a previously reported announcement, regarding an amalgamation anticipated to follow the proposed merger between Synergy and its wholly owned subsidiary 1425957 B.C. 

As such, the companies have entered into an amending agreement to extend the outside date for completing the transactions contemplated by the merger agreement, to 31 October 2025. 

In October 2023, Synergy Metals signed a loan agreement with 1425957 B.C for C$200,000 ($225,198.83), which represents a step forward in financing the plan of arrangement spin-out process and preparing the amalgamation between Synergy and 1425957 B.C. 

Element79 transferred all rights and data related to the Dale Property to its then newly incorporated subsidiary Synergy Metals. Dale comprises 90 unpatented mining claims and lies 100km southwest of Timmins, Ontario. 

In exchange for the transfer, Element79 issued 2 million Class A common voting shares in the capital of Synergy. 

As of 13 January 2025, the company held some 60.24% of the Synergy shares, excluding the 10,000 shares to be issued under the arrangement. 

Element79 says it is committed to both of the arrangements.

Element79 Gold is a mining company focused on discovering and developing gold and silver assets. The company’s flagship asset is the past-producing Lucero Project in Peru, where operations resume through convention mining and tailings reprocessing. 

In the US, Element79 also holds interest in multiple projects along Nevada’s Battle Mountain Trend.
