Element79 Gold ‘committed’ to Synergy Metals agreement

Element79 Gold (CSE:ELEM) has entered an amending agreement to extend the deadline for completion of the proposed spin-out transaction with Synergy Metals to 31 August 2025.

On 17 July 2023, Element79 transferred all rights and data related to the Dale Property, being 90 unpatented mining claims located 100km southwest of Timmins, Ontario to its then newly incorporated subsidiary Synergy Metals. 

In exchange for the transfer, the company issued 2 million Class A common voting shares in the capital of Synergy. 

The spin-out is a court ordered arrangement under the Business Corporations Act (British Columbia), and subject to approval by the shareholders, as well as the British Columbia Supreme Court. 

As of 13 January this year, the company held some 60.24% of the Synergy shares, excluding the 10,000 shares to be issued under the arrangement agreement. 

Following the completion of the proposed spin-out, Element79 is anticipated to hold 30.03% of Synergy, while the shareholders will also hold 30.33% of Synergy’s shares.

The company says it remains committed to both the proposed arrangement and the subsequent proposed amalgamation of Synergy SubCo and 142 in connection with the acquisition by Synergy of all of the issued and outstanding shares of 142.
