Nova Minerals (ASX:NVA) has announced that they are proceeding with a company reorganisation, including the proposed redomicile to the US, following its loss of foreign private issuer (FPI) status from 1 July 2026, as the majority of its shares are being held by US investors.
Nova intends to retain its dual ASX and NASDAQ listings under the same ticker codes. ASX shareholders are expected to receive CHESS Depositary Interested (CDIs) and Nasdaq ADS holders are expected to receive shares of common stock, which is the US equivalent of ordinary shares in the new US-domiciled company, preserving their current ownership statuses.
Nova announced a public offering to list on the NASDAQ in late December 2025, as previously reported.
The move is expected to be complete by the end of June 2026, subject to shareholder and regulatory approvals.
CEO Christopher Gerteisen says that the amount of US investment in the company is an opportunity to redomicile, with strong benefits to the company.
“This change will enable many large institutional investors to invest in the company where this was not possible under the current ADS structure,” Gerteisen says.
As part of the redomiciliation, Nova intends to acquire the remaining 15% interest in the Estelle Gold and Critical Minerals Project, giving it full ownership to support the project to construction and production.
Alongside the corporate reorganisation, Michael Melamed has resigned as Chief Financial Officer, giving three months notice. The company will undertake a formal process to appoint a US-based CFO.
