First Graphene (ASX:FGR) has entered a binding asset purchase agreement to acquire all manufacturing, intellectual property (IP), and development assets from Ionic Industries and its subsidiary, Imagine Intelligent Materials, providing First Graphene with advanced graphene-coating technologies with proven commercial opportunities.
The company notes that the acquisition is a strategic and cost-effective opportunity as it will acquire production infrastructure, intellectual property, and established sales and distribution channels for $250,000 in cash and shares.
First Graphene is predominantly interested in Ionic’s graphene coatings formulations technology and their applications on geotextiles as a potential revenue generator.
The IP being acquired spans advanced graphene-enabled solutions for environmental remediation, water treatment, energy storage, sensing technologies, and functional coatings.
This acquisition provides First Graphene with immediate revenue-generating opportunities from the graphene coatings formulations, which are applicable in water containment systems, landfill and waste management, and constructions.
The applications also align with the company’s existing PureGraphⓇ portfolio and targeted end markets.
Managing Director Michael Bell says that the acquisition is an opportunity to accelerate the company’s growth in graphene-coating technologies.
“We are acquiring proven technologies, established applications, and a pathway to revenue, all of which complement our PureGraphⓇ platform and existing capabilities,” Bell says.
“This positions First Graphene to deliver advanced material solutions more rapidly into large, global markets where performance and sustainability are increasingly critical.
“We see significant upside in integrating these technologies with our scalable production and expanding distribution network, particularly within the fast-growing geotextile and environmental infrastructure sectors.”
The acquisition is expected to close within 90 days.
First Graphene is focused on the development of advanced graphitic materials and has a primary manufacturing base in Western Australia.
