The scheme booklet regarding Northern Star’s (ASX:NST) proposed acquisition of De Grey Mining (ASX:DEG) has been registered by the Australian Securities and Investments Commission (ASIC).
The Federal Court of Australia has ordered De Grey to convene a meeting of its shareholders to consider and vote on a resolution to approve the proposed deal, which is by way of a court-approved scheme of arrangement.
The scheme booklet includes a copy of the Independent Expert’s Report prepared by KPMG Financial Advisory Services (Australia). The Independent Expert has concluded that the scheme is fair and reasonable and in the best interests of De Grey shareholders, in the absence of a superior proposal.
A scheme meeting is scheduled to be held on 16 April 2025.
Each shareholder on the De Grey share register as of 5pm (AWST) on 14 April will be eligible to attend and vote at the meeting.
