Aguia Resources (ASX:AGR) has received binding commitments from institutional and sophisticated investors for a $3 million placement to fund phosphate operations in Brazil and gold project development in Colombia.
Managed by Far East Capital, the placement involves the issue of 176.5 million ordinary shares at $0.017 each, representing a 10.5% discount to the last sale price on 17 July 2026. Settlement of the placement is expected to occur on 27 July 2026.
The placement utilises Aguia’s 15% placement capacity under ASX Listing Rule 7.1, with 175.5 million shares to be issued without shareholder approval. The remaining shares require shareholder approval at the company’s next annual general meeting due to director participation.
Funds will support working capital for the company’s Três Estradas Phosphate Project in Rio Grande do Sul state, Brazil, drilling programs for additional phosphate resources, development of the Santa Barbara Gold Project in Brazil, and general working capital requirements.
Located 320km southwest of Porto Alegre, the Três Estradas Project produces its flagship product Pampafos, a sustainable, domestically-sourced fertiliser.
The Santa Barbara Gold Project is a mesothermal gold-vein system located in the Department of Bolivar, within the historic Serranía de San Lucas gold belt.
