Getty Copper (TSX-V:GTC) plans to raise up to C$15 million ($15.04 million) through flow-through share placements to fund exploration expenditure. The company’s Getty Project is in British Columbia, Canada.
The brokered component targets approximately C$13 million on a best-efforts basis, led by Velocity Capital Partners and Clarus Securities.
It comprises British Columbia charity flow-through shares at C$1.395 each and charity flow-through shares at C$1.305 each.
A separate non-brokered placement targets approximately C$2 million through up to 1.855 million flow-through shares at C$1.08 each.
Both components will use the Listed Issuer Financing Exemption (LIFE), with no hold period under applicable Canadian securities laws.
Getty intends to spend an amount equal to gross proceeds on eligible Canadian exploration expenses qualifying as flow-through critical mineral mining expenditures by 31 December 2027. Expenditure associated with the British Columbia charity shares must also meet provincial criteria.
The company plans to renounce qualifying expenditure to subscribers effective 31 December 2026 and indemnify them for additional income taxes arising from renunciation failures or reductions following tax reassessment.
Closing is expected around 30 September 2026, subject to regulatory approvals, including TSX Venture Exchange acceptance. The offering is available to purchasers across Canadian provinces except Québec.
An offering document is available through SEDAR+ and Getty’s website.
Getty Copper holds an 82% interest in the Getty Project near Logan Lake in British Columbia’s Highland Valley region, adjacent to the Highland Valley Copper Mine operated by Teck Resources (NYSE:TECK).
