Aurora Energy Metals (ASX:1AE) is progressing development at the group’s namesake uranium project in the US, via Eagle Energy Metals’ proposed merger with Spring Valley Acquisition (NASDAQ:SVII).
The proposed transaction is anticipated to result in Eagle Energy becoming a publicly-listed uranium and nuclear energy company on Nasdaq.
In November 2024, Aurora entered into a binding option agreement with Eagle to acquire Oregon Energy, the wholly owned subsidiary of Aurora which holds its namesake project.
Eagle Energy’s will, under the terms of the proposal, issue US$16 million ($24.88 million) worth of shares in the company to Aurora. Additional consideration remains payable upon achieving agreed milestones, as well as a 1% net smelter royalty on future uranium production.
Under the option deal, Eagle Energy is currently funding up to US$250,000 to support ongoing technical work programs on the Aurora Uranium Project. Eagle is also progressing the conversion of the project’s current JORC-compliant resource estimate to an SK-1300-compliance resource – which is required for listing on a US exchange.
Aurora says the proposed listing through Spring Valley Acquisition is a “strong endorsement” of the project and its strategic alignment with growing US demand for secure, domestic uranium supply to support nuclear energy development.
The company will continue working closely with Eagle Energy as it progresses towards listing.
