92 Energy (ASX:92E) is moving ahead with its proposed merger with ATHA Energy Corp (CSE:SASK) via a scheme of arrangement.
As announced on 29 January 2024, ATHA has advised the market it has obtained executed resolutions approving the scheme and its acquisition of Latitude Uranium (CSE:LUR) from ATHA shareholders holding greater than 50% of the issued and outstanding common shares.
This approval satisfies another condition precedent to the scheme being implemented. 92E adds that Latitude has now started mailing its management information circular and related materials.
Latitude is holding a special meeting of shareholders on 27 February 2024 that was called to approve ATHA’s transaction with Latitude.
92E unanimously recommends the scheme to shareholders and that they vote in favour at the scheme meeting.
The scheme booklet is expected to be released to shareholders mid-February 2024.
